Terms of Service

Momayaz provides custom software development, web and mobile application development, e-commerce builds, AI integration and automation, cloud infrastructure work, and ongoing support and maintenance. For each engagement:

• Fixed quotes. Our proposals state a fixed price for the scoped work. The price we quote is the price you pay for that scope, with no hourly surprises.
• The SOW governs scope. Deliverables, milestones, acceptance criteria, and timelines are defined in the statement of work or accepted proposal for the engagement.
• Change requests are quoted before build. Work outside the agreed scope is estimated and priced in writing, and we only start it after you approve the quote.

• All prices are in USD and exclude applicable taxes, which are your responsibility where they apply.
• Project fees are billed against milestones defined in the SOW; each milestone payment is due as the SOW specifies.
• We accept payment by Stripe (cards), PayPal, and bank transfer.
• Late payments may incur additional fees, and we may pause work on an engagement with overdue invoices after notice.
• Refunds are governed by our Refund Policy.

To keep delivery on schedule, you agree to:

• Provide timely feedback, approvals, and decisions, including a named point of contact authorized to accept milestones.
• Give us the access we need: accounts, systems, content, branding assets, and third-party credentials relevant to the scope.
• Ensure the materials you supply are accurate and that you have the rights to use them.
• Use deliverables lawfully and pay invoices when due.

Delays caused by missing input or approvals extend the affected milestones by the same amount of time.

Upon full payment, the intellectual property rights in the custom software developed specifically for your project transfer to you. Until full payment, we retain ownership of the deliverables.

We retain rights to our pre-existing tools, libraries, frameworks, and general methodologies used in development; where they are embedded in your deliverables, you receive a perpetual, non-exclusive license to use them as part of the delivered work. Third-party and open-source components remain governed by their own licenses.

30-day defect-fix warranty. For 30 days after delivery of a milestone or project, we will fix at no charge any defect where the delivered work does not behave as the agreed scope describes. This warranty does not cover changes to scope, issues caused by modifications made by others, or failures of third-party services outside our control.

Beyond that warranty and our Refund Policy, services are provided "as is" to the maximum extent permitted by applicable law.

To the maximum extent permitted by law, our aggregate liability arising out of or related to an engagement is limited to the fees you paid us for that engagement.

Neither party is liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill. Nothing in these terms excludes liability that cannot be excluded under applicable law.

Each party will keep the other's non-public business, technical, and financial information confidential, use it only for the engagement, and protect it with at least reasonable care. This obligation survives the end of the engagement.

An NDA is available before any engagement. If you would like one signed before sharing your idea or materials, say so via our contact page and we will send it first.

These terms are governed by the laws of the Arab Republic of Egypt.

If a dispute arises, the parties will first attempt to resolve it through good-faith negotiation for 30 days from written notice of the dispute. If it is not resolved in that period, the dispute will be finally settled by binding arbitration.

Nothing prevents the parties from agreeing to the law of the client's country, a different forum, or other dispute-resolution terms in a signed MSA. Individually negotiated agreements supersede these website terms.
